# Terms of Service **Last Updated: May 14, 2026** PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING THE TOKPUM PLATFORM. ## 1. Acceptance of Terms By accessing or using the Tokpum platform ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age. ## 2. Description of Service Tokpum provides a unified API gateway service that allows users to access multiple large language model (LLM) providers through a single, OpenAI and Anthropic-compatible API endpoint. The Service includes: - API proxy and routing for LLM providers - Web3-based billing using USDC (USD Coin) cryptocurrency - Account management and usage analytics - An optional affiliate program ## 3. Account Registration To use the Service, you must connect a compatible cryptocurrency wallet. By connecting your wallet, you agree that: - You are the rightful owner or authorized user of the connected wallet. - You are responsible for maintaining the security of your wallet and private keys. - You understand that wallet addresses are used to identify your account and process payments. - You will not use the Service for any illegal or unauthorized purpose. ## 4. API Usage You are responsible for all API requests made using your API keys. You agree to: - Keep your API keys confidential and not share them with third parties. - Not attempt to circumvent rate limits, access controls, or usage restrictions. - Not use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. - Comply with the terms of service of underlying LLM providers accessed through the Service. Tokpum reserves the right to throttle, suspend, or terminate accounts that abuse the Service. ## 5. Payment and Billing ### 5.1 USDC Payments All payments for Service usage are made in USDC (USD Coin) on supported blockchain networks. You acknowledge that: - Cryptocurrency transactions are irreversible once confirmed on the blockchain. - Tokpum is not responsible for fluctuations in USDC value or network fees (gas). - You are responsible for ensuring sufficient USDC balance in your wallet. - Deposit confirmations may take time depending on network congestion. ### 5.2 Usage-Based Billing You are billed based on actual API usage, including input tokens, output tokens, and cache read tokens, as measured by the Service. Pricing is displayed on our pricing page and may be updated from time to time. ### 5.3 Balance and Credits Your account balance represents pre-paid credits for Service usage. Unused credits do not expire but are non-refundable except as stated in our Refund Policy. ## 6. Affiliate Program Users may participate in the Tokpum affiliate program subject to the separate Affiliate Agreement. By participating, you agree to: - Not use spam, misleading advertising, or fraudulent methods to generate referrals. - Not refer yourself or create multiple accounts to earn affiliate commissions. - Accept that affiliate commission rates and terms may be updated with notice. Commissions are paid in USDC and are subject to minimum withdrawal thresholds. ## 7. Intellectual Property All content, software, and intellectual property associated with the Service, including but not limited to the Tokpum name, logo, website design, and API infrastructure, are the property of Tokpum and are protected by applicable intellectual property laws. You retain ownership of all content you submit to the Service through API requests. However, you acknowledge that content processed by LLM providers is subject to those providers' respective terms. ## 8. Prohibited Uses You agree not to: - Use the Service for any unlawful purpose or in violation of any applicable regulations. - Attempt to gain unauthorized access to any part of the Service or its infrastructure. - Interfere with or disrupt the Service or servers connected to the Service. - Use automated tools to scrape, crawl, or extract data from the Service beyond permitted API usage. - Resell or redistribute access to the Service without written authorization. - Use the Service to develop competing products or services without authorization. ## 9. Disclaimers THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Tokpum does not guarantee that: - The Service will be uninterrupted, timely, secure, or error-free. - The results obtained from the use of the Service will be accurate or reliable. - The quality of any content, information, or other material obtained through the Service will meet your expectations. ## 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOKPUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. In no event shall Tokpum's total liability to you exceed the amount you have paid to Tokpum in the twelve (12) months preceding the claim. ## 11. Indemnification You agree to indemnify and hold harmless Tokpum and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party. ## 12. Termination Either party may terminate this agreement at any time. You may stop using the Service at any time by disconnecting your wallet. Tokpum reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall remain in effect. ## 13. Governing Law These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the applicable jurisdiction. ## 14. Changes to Terms Tokpum reserves the right to modify these Terms at any time. Material changes will be notified through the Service or by email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. ## 15.
