# Affiliate Agreement **Last Updated: May 14, 2026** This Affiliate Agreement ("Agreement") governs your participation in the Tokpum Affiliate Program ("Program"). By participating in the Program, you agree to be bound by these terms. ## 1. Enrollment ### 1.1 Eligibility To participate in the Program, you must: - Have an active Tokpum account with a connected wallet. - Not be prohibited from participating under applicable law. ### 1.2 Acceptance Enrollment in the Program is automatic upon accessing the affiliate dashboard. Tokpum reserves the right to reject or revoke participation at any time for any reason, including but not limited to violation of this Agreement or abuse of the Program. ## 2. Referral Links and Codes ### 2.1 Generation Upon enrollment, you will receive a unique affiliate code and referral link. You may use these to refer new users to the Tokpum platform. ### 2.2 Tracking Referrals are tracked via your unique affiliate code. A user is attributed to you when they sign up using your referral link or enter your referral code during registration. The referral must occur before the referred user creates an account. ### 2.3 Cookie and Attribution - Referral attributions are stored in the referred user's account permanently. - Self-referrals or referrals of existing accounts are not valid. - Tokpum is not responsible for lost referrals due to browser settings, ad blockers, or technical issues. ## 3. Commission Structure ### 3.1 Commission Rate The commission rate is displayed on your affiliate dashboard and may be updated from time to time. Current commissions are calculated as a percentage of the referred user's net spending on the platform. ### 3.2 Qualifying Spending Commissions are earned on: - Actual API usage spending by referred users, after deducting any refunds or credits. Commissions are NOT earned on: - Deposits made by referred users (only actual usage triggers commission). - Spending by yourself or accounts you own. - Spending that is later refunded. ### 3.3 Commission Caps There is no cap on the total commissions you can earn. Commissions continue for the lifetime of the referred user's account, subject to this Agreement. ## 4. Commission Payouts ### 4.1 Currency All commissions are paid in USDC (USD Coin) on supported blockchain networks. ### 4.2 Minimum Payout Threshold A minimum balance may be required before a withdrawal can be initiated. The current threshold is displayed on your affiliate dashboard. ### 4.3 Withdrawal Process - You may request a withdrawal through the affiliate dashboard. - Withdrawals are processed within 7 business days. - Commissions are sent to your connected wallet address. - You are responsible for any blockchain network fees (gas) associated with receiving payouts. ### 4.4 Tax Responsibilities You are solely responsible for reporting and paying any taxes applicable to commissions earned through the Program. Tokpum does not provide tax advice and will not issue tax documents unless required by applicable law. ## 5. Promotional Guidelines ### 5.1 Permitted Methods You may promote your referral link through: - Personal websites, blogs, and social media. - Email to your personal contacts (no spam). - Content creation (videos, tutorials, reviews). ### 5.2 Prohibited Methods You agree NOT to: - Use spam, unsolicited bulk email, or mass messaging. - Use misleading, deceptive, or fraudulent advertising. - Impersonate Tokpum or claim official endorsement. - Use paid advertising targeting Tokpum branded keywords. - Promote your referral link on platforms where it violates the platform's terms of service. - Use browser extensions, toolbars, or similar tools that automatically replace or inject affiliate links. - Offer cash back, rebates, or other incentives to referred users that are not approved by Tokpum. ## 6. Fraud and Abuse Tokpum reserves the right to investigate and take action against any fraudulent or abusive activity, including but not limited to: - Creating multiple accounts to generate self-referrals. - Using bots, scripts, or automated tools to simulate referrals. - Falsely representing the Service or pricing to attract referrals. - Any activity that artificially inflates commission earnings. Consequences of fraud or abuse may include: - Immediate termination from the Program. - Forfeiture of all unpaid commissions. - Permanent ban from the Service. - Legal action if warranted. ## 7. Term and Termination ### 7.1 Term This Agreement remains in effect for as long as you participate in the Program. ### 7.2 Termination by You You may stop participating in the Program at any time by discontinuing the use of your referral link. Any unpaid commissions below the minimum payout threshold will be forfeited. ### 7.3 Termination by Tokpum We may terminate or suspend your participation in the Program at any time, with or without cause, and with or without notice. Upon termination: - You must immediately cease using your referral link. - Unpaid commissions may be forfeited if termination is due to violation of this Agreement. - Legitimate earned commissions that meet the payout threshold will be paid out within 30 days of termination. ## 8. Modifications Tokpum reserves the right to modify this Agreement, including commission rates and payout terms, at any time. Material changes will be communicated through the affiliate dashboard or by email. Continued participation in the Program after changes become effective constitutes acceptance of the revised terms. ## 9. Limitation of Liability Tokpum shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program. Our total liability shall not exceed the commissions paid to you in the twelve (12) months preceding the claim. ## 10. Independent Contractor You are an independent contractor, not an employee or agent of Tokpum. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. ## 11.
